Terms of Service

These Terms of Service ("Terms") govern your use of the SkillsProto website and any services provided by Shenzhen Skills Proto Co., Ltd. ("SkillsProto", "we", "us").

By using our website or engaging our services, you agree to these Terms.

1. Services

SkillsProto provides custom manufacturing services including CNC machining, injection moulding, sheet metal fabrication, FRP composites, 3D printing, vacuum casting and die casting.

2. Quotes and orders

  • All quotes are valid for 30 days from issue unless otherwise stated.
  • Quotes are based on the CAD and information provided by the customer. Errors in customer CAD or specifications may affect pricing and lead time.
  • Orders are confirmed only on receipt of a purchase order and agreed deposit (typically 30% for new customers).
  • We reserve the right to refuse orders that violate export controls or other legal restrictions.

3. Pricing and payment

  • Prices are quoted in GBP, USD, EUR or CNY at the customer's choice.
  • Prices exclude VAT for UK / EU B2B clients (reverse charge applies with valid VAT registration).
  • Payment terms: 30% deposit, 70% before shipment for prototypes and small batches. Net 30 available for approved credit accounts on production orders.
  • Late payment may delay order processing.

4. Lead times

  • Lead times are estimates in working days from order confirmation and deposit receipt.
  • Lead times are not guaranteed unless explicitly stated in the order confirmation.
  • We are not liable for delays caused by customer changes, material availability, force majeure or shipping carrier delays.

5. Quality and inspection

  • Parts are inspected per our standard QA process (see [Quality page]).
  • First Article Inspection (FAI) is provided on every new tool or first production run.
  • Customer-requested inspection (third-party inspector) is welcome, with reasonable notice.

6. Warranty

  • All parts carry a 12-month warranty from delivery against manufacturing defects.
  • Warranty does not cover damage caused by misuse, modification, normal wear or use outside the part's design intent.
  • Warranty claims must be made in writing within 30 days of discovery.

7. Intellectual property

  • Customer retains all IP in their CAD, drawings and specifications.
  • We retain IP in our DFM feedback, tooling designs and process improvements.
  • Customer grants us a limited licence to use the customer's CAD solely to fulfil the order.
  • We will sign NDAs as requested.

8. Confidentiality

  • Both parties agree to keep confidential information confidential.
  • Confidential information includes CAD, drawings, specifications, pricing, and any business information marked as confidential.
  • This obligation survives termination of the business relationship for 3 years.

9. Tooling ownership

  • Tooling (moulds, jigs, fixtures) paid for by the customer is the customer's property.
  • We store tooling at no charge for 12 months from last order; thereafter a storage fee may apply.
  • Tooling is shipped to the customer on request at the customer's cost.

10. Limitation of liability

  • Our liability is limited to the value of the order.
  • We are not liable for indirect, consequential or incidental damages.
  • Nothing in these Terms excludes liability for fraud, death or personal injury caused by negligence.

11. Force majeure

  • We are not liable for failure to perform due to events beyond our reasonable control, including but not limited to: natural disasters, war, pandemic, government action, labour disputes, supply chain disruption, shipping delays.

12. Governing law

  • These Terms are governed by the laws of Hong Kong SAR.
  • Disputes shall be resolved by arbitration in Hong Kong under HKIAC rules, unless otherwise agreed in writing.

13. Changes to these Terms

  • We may update these Terms from time to time.
  • Material changes will be notified to active customers by email.
  • Continued use of our services after changes constitutes acceptance.
